Gift Card Terms & Conditions

EarthLink LLC (“Sponsor” or “EarthLink”) offers eligible customers the opportunity to earn rewards by referring new customers to EarthLink services through the EarthLink Refer-a-Friend Program (the “Referral Program”). The gift card reward is administered by Blackhawk Network (“Administrator”). By participating in the Referral Program, you agree to be bound by these Terms and Conditions, as well as EarthLink’s policies located at www.earthlink.net/tcs (collectively, the “Terms”). THESE TERMS INCLUDE A BINDING ARBITRATION PROVISION, DESCRIBED BELOW, WHICH INCLUDES A WAIVER OF CLASS ACTIONS AND LIMITS THE REMEDIES AVAILABLE TO YOU IN THE EVENT OF A DISPUTE. IN ARBITRATION THERE IS NO JUDGE OR JURY AND THERE IS LESS COMPELLED INFORMATION DISCLOSURE AND APPELLATE REVIEW THAN IN COURT. If you do not agree to these Terms, do not participate in the Referral Program. The terms “you” and “your” refer to any participant or prospective participant in the Referral Program, depending on the context, including both Referrers and Referred Customers.

Sponsor reserves the right to modify, change, or add to these Terms at any time without prior notice. Your continued participation in the Referral Program after any update to these Terms constitutes your agreement to the updated Terms. You should review these Terms before participating in the Referral Program. The updated Terms will be effective as of the time of posting or as of such later date as may be specified therein.

SPONSOR RESERVES THE RIGHT TO TERMINATE THE REFERRAL PROGRAM AT ANY TIME IN ITS SOLE AND ABSOLUTE DISCRETION WITH OR WITHOUT NOTICE.

ELIGIBILITY

The Referral Program is only valid in the United States and is open to legal residents currently residing in the forty-eight (48) contiguous United States and the District of Columbia who: (i) are at least 18 years old or the age of majority in their state of residence, whichever is older; (ii) are current EarthLink customers in good standing with an active EarthLink account; and (iii) have received and reviewed these Terms and agree to be bound by and comply with them. The Referral Program is void where prohibited by law and outside the United States.

Employees, officers, and directors of Sponsor and Administrator, or any of their respective parents, affiliates, subsidiaries, representatives, consultants, legal counsel, advertising, public relations, promotional, fulfillment, and marketing agencies, and their immediate families (spouses, parents, siblings, and children, regardless of where they live) are not eligible to participate in the Referral Program.

Participation constitutes a participant’s full and unconditional agreement to these Terms and to Sponsor’s and/or Administrator’s decisions, which are final and binding in all matters related to the Referral Program.

HOW TO PARTICIPATE

Eligible participants (“Referrers”) may participate in the Referral Program by sharing their unique referral link (“Referral Link”) with prospective new EarthLink customers (“Referred Customers”). A Referral Link may be obtained through the EarthLink website at refer.earthlink.net. When a Referred Customer uses the Referrer’s Referral Link to complete a Qualifying Purchase of EarthLink services, the Referrer becomes eligible for a referral reward (“Reward”), subject to verification.

In order to meet the requirements of a “Qualifying Purchase”, the Referred Customer:

must be a new EarthLink customer who has not previously maintained an EarthLink account within the last six months;

may only be associated with one (1) Referrer;

must request EarthLink services in an area where EarthLink offers such services; and

must complete 90 consecutive days of active, paid service.

In addition, the Referrer must remain an active subscriber at time of gift card issuance.

Any attempt by a participant to obtain more than the stated number of Rewards by using multiple and/or different identities, accounts, registrations, or any other methods will void that participant’s participation, and the participant may be disqualified from the Referral Program at Sponsor’s discretion.

All participants and referral submissions are subject to verification prior to any Reward being issued. Referrals that contain inaccurate, incomplete, or illegible information will be rejected.

REWARD DETAILS

Upon verification by Sponsor and/or Administrator that a Referred Customer has completed a Qualifying Purchase using a valid Referral Link, the Referrer will receive a Reward in the form of a gift card in the amount specified for the applicable Referral Program offer. Rewards will be delivered to the Referrer within the estimated fulfillment timing as stated on the EarthLink website.

Rewards are available for a limited time, while supplies remain available, on a first-come, first-served basis. There is a limit of number Reward(s) per Referrer per calendar year, unless otherwise specified. No Reward substitution or exchange will be allowed, except by Sponsor, who reserves the right to substitute a Reward in case of unavailability for any reason, including a force majeure event. Rewards will not be replaced or replenished if they are lost, stolen, damaged, destroyed, or used without your permission and will be voided if altered or defaced.

You are solely responsible for payment of any and all applicable federal, state, and local taxes for any Reward received. All other costs and expenses not expressly set forth herein shall be solely your responsibility.

INTEREST WILL NOT BE PAID TO YOU OR ANY REWARD RECIPIENT FOR ANY VALUE ASSOCIATED WITH A REWARD. THERE IS NO DEPOSIT ACCOUNT ASSOCIATED WITH ANY REWARD.

REFERRAL LINK USAGE AND RESTRICTIONS

Referral Links are personal and non-transferable except as intended under the Referral Program. Referrers may share their Referral Link through personal communication channels such as email, text message, or social media. Referral Link may not be published on coupon or deal websites, distributed through unsolicited commercial messages (spam), or promoted through paid advertising without Sponsor’s prior written consent.

Sponsor reserves the right to void any Referral Link and disqualify any participant who, in Sponsor’s sole judgment, is engaging in fraudulent, abusive, or otherwise improper referral activity.

GENERAL CONDITIONS

The Referral Program is governed by the laws of the United States. Participants waive any right to claim ambiguity in these Terms. Sponsor reserves the right to disqualify any individual found, in its sole opinion, to be tampering with the operation of the Referral Program; to be acting in violation of these Terms; or to be acting in an unsportsmanlike manner or with the intent to disrupt the normal operation of the Referral Program.

In the event of any conflict between these Terms and any specific Referral Program offer materials (including but not limited to website advertising, email communications, and other promotional media), the details set forth in these Terms shall prevail. The invalidity or unenforceability of any provision of these Terms will not affect the validity or enforceability of any other provision. Sponsor’s failure to enforce any provision of these Terms shall not constitute a waiver of that provision, and such provision shall remain in full force and effect.

LIMITATION OF LIABILITY

Officers, directors, agents, and employees of the Sponsor, Administrator, and each of their respective parent companies, subsidiaries, affiliated entities, and each of their respective advertising, promotion, and web design agencies, independent contractors (collectively, “Referral Program Entities”) are not responsible for: (i) interrupted or unavailable network, server, or other connections, miscommunications, failed telephone or computer transmissions, or technical malfunctions, failures, or difficulties, or other errors, omissions, interruptions, or deletions of any kind, whether human, mechanical, or electronic; (ii) illegible, unintelligible, misdirected, delayed, undelivered, damaged, or late referral submissions or Rewards, or incorrect or inaccurate registration information, whether caused by Internet users or programming associated with or utilized in the Referral Program, or by any technical or human errors that may occur in the administration of the Referral Program; or (iii) any typographical errors in any Referral Program materials.

THE REFERRAL PROGRAM ENTITIES MAKE NO WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT REGARDING THE REFERRAL PROGRAM. YOUR USE OF THE REFERRAL PROGRAM IS AT YOUR OWN RISK.

TO THE EXTENT PERMITTED BY APPLICABLE LAW, REFERRAL PROGRAM ENTITIES WILL NOT BE LIABLE TO YOU FOR LOSS OF PROFITS, DATA, GOODWILL, OR ANY OTHER INTANGIBLE LOSSES; COMMUNICATION SYSTEM FAILURES OR MALFUNCTIONS; OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (WHETHER IN CONTRACT, TORT, OR OTHERWISE), EVEN IF YOU HAVE ADVISED US OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY. CHECK LOCAL LAWS FOR ANY RESTRICTIONS OR LIMITATIONS REGARDING THESE LIMITATIONS OR EXCLUSIONS.

RELEASE AND INDEMNIFICATION

Participant hereby agrees to hold Referral Program Entities harmless from all liability for any costs, claims, damages, or any other injury (whether due to negligence or otherwise), disability, or loss to any person or property (including, without limitation, death or violation of any personal rights such as right of publicity/privacy, libel, or slander) due in whole or in part, directly or indirectly, to participation in the Referral Program, the delivery and/or subsequent acceptance of, use or misuse of any Reward, or any Referral Program–related activity.

You agree to defend, indemnify, and hold harmless EarthLink, its officers, directors, agents, affiliates, subsidiaries, employees, and any third-party partners, from and against all damages, expenses, losses, costs, or any other claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms, or your violation of any law or regulation, or the rights of any third party.

DISPUTES

Any dispute, claim, disagreement, or controversy arising out of, connected with, or relating in any way to the Referral Program (a “Dispute”) shall be resolved by final and binding arbitration in accordance with the terms of Section 19 of the EarthLink Master Service Agreement titled “Dispute Resolution by Binding Arbitration and Class Action Waiver (Including Important Information for California Residents)” which is located at earthlink.net/tcs and is part of these Terms. Except for an action to enforce the provisions of an arbitration award or an action for injunctive or other interim relief, neither party shall file or commence any legal action with any court to resolve a Dispute.

ALL PARTIES UNDERSTAND THAT THE ARBITRATION PROVISION DESCRIBED ABOVE CONSTITUTES A WAIVER OF A PARTY’S RIGHT TO A JURY TRIAL AND CONSTITUTES THE SOLE AND EXCLUSIVE METHOD OF RESOLVING ALL DISPUTES.

The parties acknowledge and agree that either one or both, as well as their representatives, legal counsel, agents, witnesses, or other participants, may elect to attend the arbitration and any related meetings, hearings, or gatherings remotely by video conference, and the physical presence of such individuals shall not be required.

PRIVACY

Information collected from participants is subject to Sponsor’s Privacy Policy, which can be found at earthlink.net/tcs/privacy-policy/. Sponsor and its agents, affiliates, subsidiaries, representatives, or service providers may use participants’ personal information submitted in connection with the Referral Program for purposes of Reward fulfillment and/or future marketing by Sponsor, such as to notify participant of a product or promotion that Sponsor thinks may be of interest, unless prohibited by law. Please carefully review the Privacy Policy, which is incorporated into and subject to these Terms.

GOVERNING LAW / JURISDICTION

These Terms and any services provided hereunder will be governed by and construed in accordance with the laws of the State of Delaware, without regard to any laws that would direct the choice of another state’s laws, and, where applicable, will be governed by and construed in accordance with the federal laws of the United States. You consent and submit to the exclusive jurisdiction of the state and federal courts located in the State of Delaware with respect to all controversies arising out of or in connection with the Referral Program and these Terms that are not subject to arbitration.

MISCELLANEOUS

These Terms set forth the entire understanding and agreement between you and EarthLink with respect to the Referral Program and supersede any prior or contemporaneous understandings or agreements with respect to the Referral Program. EarthLink may waive or delay enforcement of any of its rights under these Terms without losing them.
